1. Introduction

These Terms & Conditions govern your use of the EduTech Services Ecosystem (“ESE”, “the Platform”), an AI-powered educational technology service operated by Alhalaal Digital Innovations Ltd (“we”, “us”, “our”). By accessing or using ESE, you agree to be bound by these terms. If you do not agree, please do not use the Platform.

2. Acceptance of Terms

By creating an account, signing in, or continuing to use ESE, you confirm that you have read, understood, and accepted these Terms & Conditions and our Privacy Notice. If you are using ESE on behalf of an organisation, you represent that you have authority to bind that organisation.

3. Description of Service

ESE provides adaptive learning tools, programmed instruction, assessment and certification services, a universal digital library, AI-assisted research and document authoring, and multi-role management for students, tutors, examiners, parents, and institutions. Features vary by role and subscription plan.

4. Acceptable Use

You agree not to misuse the Platform. Prohibited conduct includes, but is not limited to:

• Using ESE for any unlawful purpose or in violation of applicable laws.
• Fraud, spam, phishing, impersonation, or misrepresentation.
• Infringing intellectual property rights or uploading content you do not have rights to.
• Interfering with the security, availability, or integrity of the Platform.
• Attempting to probe, scan, scrape, or reverse engineer any part of ESE.
• Using AI features to generate illegal, harmful, hateful, or misleading content.

5. Accounts and Security

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to provide accurate information and keep it up to date. Notify us immediately of any unauthorised use of your account.

6. Intellectual Property

All software, designs, branding, documentation, and content provided by ESE remain the property of Alhalaal Digital Innovations Ltd or its licensors. We grant you a limited, non-exclusive, non-transferable licence to use the Platform in accordance with your selected plan. You retain ownership of content you create or upload; by uploading content, you grant us the limited right to host and process it solely to provide the service.

7. Payments, Subscriptions and Billing

Paid subscriptions and billing for ESE are processed by our online reseller, Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides customer service inquiries and handles returns. Payment, billing, tax, subscription renewal, cancellation, and refund mechanics are governed by Paddle's Buyer Terms.

By subscribing to a paid plan, you authorise Paddle to charge the applicable fees using your selected payment method. Subscriptions renew automatically unless cancelled before the renewal date.

8. Service Level

We strive to keep ESE available, accurate, and secure, but we do not guarantee uninterrupted or error-free performance. The Platform is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, all implied warranties are disclaimed.

9. Suspension and Termination

We may suspend or terminate your access to ESE if you materially breach these Terms, fail to pay applicable fees, pose a security or fraud risk, or repeatedly or seriously violate our acceptable use policies. Upon termination, your right to use the Platform ceases immediately.

10. Limitation of Liability

To the extent permitted by law, Alhalaal Digital Innovations Ltd shall not be liable for any indirect, consequential, special, or punitive damages, including loss of profits, data, or goodwill. Our aggregate liability is limited to the fees you paid to us in the 12 months preceding the claim, except where liability cannot be excluded by law.

11. Indemnity

You agree to indemnify and hold harmless Alhalaal Digital Innovations Ltd from any claims, damages, or expenses arising from your content, your misuse of the Platform, or your violation of these Terms.

12. Governing Law and Disputes

These Terms shall be governed by the laws of the jurisdiction in which Alhalaal Digital Innovations Ltd operates, without regard to conflict-of-law principles. Any dispute shall be resolved in the courts of that jurisdiction.

13. Changes to These Terms

We may update these Terms from time to time. We will notify users of material changes via the Platform or email. Continued use of ESE after changes constitutes acceptance of the updated Terms.
